American Marans Club

Objectives and Purposes

The aim of the club is to promote the Marans breed, educate and encourage members to use  
good, honorable breeding practices. Also as well as to encourage breeding the Marans breed  
back to the French Standards (There shall Not be any out crossing to other breeds. This practice
will Not be tolerated by American Marans Club members and may result in the loss of membership
in the club).

Membership

Persons may join the club by paying a subscription, which is renewable on January 1st of each
year payable to the Secretary/Treasurer. The club, as a private organization, reserves the right to
refuse membership to any person(s). Dues payable must be received by March 1st for a member
to remain in good standing.  Only adult members (i.e. individual members eighteen years or older)
may vote on club matters.

Officers

The club will have the following officers: President, First Vice President,
Secretary/Treasurer and a board of directors.

These three officers will be elected by the membership and will constitute the Executive
Committee. The term of service for these officers will be for a term of two years. The Elections will
be held by a postal ballot on June 1st of the electoral year and will be run by the Secretary.  
Elections for President and Secretary/Treasurer will be held on even-numbered years and the
election for the First  Vice President will be held on odd-numbered years. In the spirit of Club
cooperation, most official decisions will be based upon consensus of officers.  The officers may
decide to consult the general Club membership for opinions on Club issues.

Bylaws

Article 1 - Duties of President

The President will act as the Chief Executive of the Club.  He/she will refer to the Executive
Committee matters, which are appropriate and will act as its chairperson announcing its decisions
and actions.  He/she will appoint interim officers when a vacancy occurs and appoint members to
fill such positions as are not designated or to be elective. The President will also oversee any
transactions of the club other than the newsletter and postage expenditures. The President, by
default, is a member of all committees that are formed, whether the President is actively involved
or not.

Article 2 - Duties of First Vice President

The First Vice President will act for the President upon the latter's request in his/her absence.
The First Vice President will notify the Secretary/Treasurer of all actions taken by the Action
Committee and exercise the right of approval over disbursements of the Club's money and
any other assets. These may not exceed $100 without the approval of the President.  He/she will
see that the bylaws are followed and that others with responsibility to the Club fulfill their duties.
In the absence of the President  the First Vice President will preside at meetings of the club.
He/she will serve as President for the remainder of the term upon that office becoming vacant.  
Ideally the person holding this position would act as assistant when possible to the other officers
(particularly Secretary/Treasurer with show reports, etc.).


Article 5 - Duties of the Secretary/Treasurer

The Secretary/Treasurer will act as the General Manager of the club.  He/she will keep lists of
members and their addresses and will maintain files of correspondence, newsletters and
membership lists.  He/she will also maintain any other papers or material relating to the club.
Additionally, he/she should work closely with the President and the First Vice President in
keeping the website up to date and organizing the newsletter.  He/she will receive monies due to
the club, record, hold and account for the club's assets, pay the club's bills subject to the
approval of the President or First Vice President, and prepare and present a Treasurer’s Report
of the club's finances at the Annual Meeting.  The Secretary/Treasurer will have discretion in
purchases under $50.00 in value. The Secretary/Treasurer shall prepare a quarterly financial
report for the Executive Committee, to include tally sheets, receipts, and copies of bank
statements. Also he/she will collect all results of shows for the newsletter.

Article 6 – Dues

The annual dues will be $20.00 (USD) for one year or $35.00 for two years. New member
subscriptions purchased after July 1 will be pro-rated for one half-year if the new member also
pays for the following year, for a total of $30.00.  Junior membership (under 18 years of age) is
$15.00 for one year or $25.00 for two years.  Membership renewal fees will be due on January 1st
of the expiration year and must be received by March 1st for a member to remain in good
standing.  The Secretary/Treasurer will send membership renewal notices before December 15th
of the year prior to the January expiration date, preferably with the last newsletter of the year.

Article 7 - (Newsletter)

The newsletter will be sent out twice a year and will be edited by the Secretary and the Vice
Presidents.  The dates of publication will be June and December.

Article 8 – Interpretations

In all cases of disputes arising out of the interpretation of the meaning of the Constitution and
Bylaws, removal of an officer from office or of a member from the club, a vote of the Executive
Committee is final.

Article 9 - Annual Meeting

The Minutes of the previous meeting, the Financial Report, the President's Report and any other
reports will be sent by e-mail (preferably), mail, fax, or other means at least seven days before the
meeting. The meeting will take place in a private chat room to discuss the following:

3 Financial Report
4 President’s Report
5 Reports of other officers and committee
6 Other business
7 Adjournment
